These Terms of Service ("Terms") govern your access to and use of the Total Relief MD website, platform, and remote physician supervision services (collectively, the "Services") provided by Total Relief MD ("Company," "we," "us," or "our").

Total Relief MD provides remote physician supervision services for diagnostic imaging centers, including but not limited to:
Our Services are designed to comply with CMS Virtual Direct Supervision requirements under 42 CFR ยง 410.32 and applicable state laws.
Remote physician supervision is available during the hours specified in your service agreement. Standard coverage is available 6:00 AM to 10:00 PM, 7 days per week, unless otherwise agreed.
We strive to connect your facility with a supervising physician within 2 minutes of initiating a supervision request. Response times may vary based on demand and circumstances beyond our control.
While we make every effort to ensure continuous service availability, we do not guarantee uninterrupted service. We may temporarily suspend access for maintenance, updates, or circumstances beyond our control.
As a client of Total Relief MD, you agree to:
Fees for our Services are set forth in your service agreement. We offer flexible pricing based on facility volume and coverage requirements.
Payment terms are specified in your service agreement. Late payments may result in service suspension and may accrue interest at the maximum rate permitted by law.
Refund policies are outlined in your individual service agreement. Pre-paid services are generally non-refundable unless otherwise specified.
The Total Relief MD platform, including all software, content, trademarks, and materials, is owned by Total Relief MD and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use our platform solely for the purpose of receiving our Services.
Both parties agree to maintain the confidentiality of all Protected Health Information (PHI) in accordance with HIPAA regulations. Our obligations regarding PHI are further detailed in:
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOTAL RELIEF MD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
While our physicians provide supervision and guidance, the ultimate responsibility for patient care remains with the on-site facility and its personnel. Our Services supplement, but do not replace, the facility's clinical responsibilities.
You agree to indemnify, defend, and hold harmless Total Relief MD, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:
You may terminate your account and these Terms at any time by providing written notice in accordance with your service agreement.
We may terminate or suspend your access to the Services immediately, without prior notice, for:
Upon termination, your right to access and use the Services will immediately cease. Provisions that by their nature should survive termination shall survive, including intellectual property, limitation of liability, and indemnification.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration in Houston, Texas, in accordance with the rules of the American Arbitration Association. The decision of the arbitrator shall be final and binding.
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Effective Date." Your continued use of the Services after such changes constitutes your acceptance of the modified Terms.
